Terms of Service — SkillFlow

1. Acceptance of Terms

By accessing or using SkillFlow ("Platform"), operated by SkillFlow Technologies ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. We reserve the right to update these Terms at any time, and continued use of the Platform after changes constitutes acceptance of the revised Terms.

2. Description of Service

SkillFlow is a curated marketplace for AI-powered skills ("Skills") that automate business tasks. The Platform enables:

Buyers to discover, test (via interactive playgrounds), purchase, and execute AI Skills.
Creators to build, publish, and monetize AI Skills.

Skills are executed using third-party large language model (LLM) providers. Results are generated by AI and may vary. SkillFlow does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs.

3. Account Registration

To access certain features, you must create an account via our OAuth authentication provider. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform.

4. Purchases and Payments

All payments are processed securely through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service. Prices are displayed in US Dollars (USD) unless otherwise indicated. All purchases are subject to the following:

Per-execution purchases: You pay for each individual execution of a Skill at the listed price.
Subscription plans: Recurring monthly charges that provide access to a Skill. Subscriptions auto-renew until cancelled.
Platform fee: SkillFlow charges an 18% platform fee on all transactions. Creators receive 82% of the transaction value (85% for Founding Creators).
Minimum charge: Stripe requires a minimum charge of $0.50 USD per transaction.

You are responsible for any applicable taxes in your jurisdiction. Prices may change at any time, but changes will not affect existing active subscriptions until renewal.

5. Refund Policy

Due to the digital and consumable nature of AI Skill executions, refunds are handled as follows:

Per-execution purchases: Refunds may be requested within 7 days if the Skill failed to produce any output due to a technical error. Refunds are not available for outputs that did not meet expectations, as AI results are inherently variable.
Subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.

6. Creator Terms

By publishing a Skill on SkillFlow, Creators agree to the following:

Intellectual property: You retain ownership of your Skill's system prompt and configuration. By publishing, you grant SkillFlow a non-exclusive, worldwide license to host, display, and execute your Skill on the Platform.
Revenue share: Creators receive 82% of all revenue generated by their Skills (85% for Founding Creators). Payouts are processed through Stripe Connect.
Content standards: Skills must not generate illegal, harmful, misleading, or discriminatory content. SkillFlow reserves the right to reject or remove any Skill that violates these standards.
Review process: All Skills undergo manual review before publication. SkillFlow may request modifications or reject Skills at its sole discretion.
Availability: SkillFlow does not guarantee uptime or availability of the execution infrastructure. We will make reasonable efforts to maintain service availability.

7. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable laws.
Attempt to reverse-engineer, extract, or copy system prompts from Skills.
Use automated tools (bots, scrapers) to access the Platform without prior written consent.
Submit false reviews, manipulate ratings, or engage in fraudulent activity.
Upload or create Skills that generate harmful, illegal, or misleading content.
Circumvent payment mechanisms or attempt to process payments outside the Platform.
Impersonate other users, creators, or SkillFlow staff.

Violation of these terms may result in immediate account suspension or termination.

8. Intellectual Property

The SkillFlow name, logo, design, and all Platform content (excluding user-generated Skills) are the property of SkillFlow Technologies. You may not reproduce, distribute, or create derivative works without our express written permission. User-generated content (reviews, comments) remains the property of the respective users, with a license granted to SkillFlow for display on the Platform.

9. Disclaimers and Limitation of Liability

THE PLATFORM AND ALL SKILLS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SKILLFLOW DOES NOT WARRANT THAT:

AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
The Platform will be uninterrupted, secure, or error-free.
Skills will produce consistent results across executions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLFLOW'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SKILLFLOW BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the Brazilian General Data Protection Law (LGPD) and the European General Data Protection Regulation (GDPR).

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from these Terms shall be resolved in the courts of São Paulo, SP, Brazil. For users in the European Union, mandatory consumer protection laws of your country of residence may apply.
